The agreement between you and Arbor AI, LLC when you use the app.
By creating an account or using the Arbor application ("Arbor," "the App," "the Service"), you agree to be bound by these Terms. If you do not agree, do not use Arbor. DO NOT PROCEED.
Arbor is provided by Arbor AI, LLC ("Arbor AI," "we," "us," or "our"). References to "Arbor AI" in these Terms mean Arbor AI, LLC; "Arbor" refers to the application and service.
1.1 Arbor is a journaling resource and emotional-exploration tool that may include AI. Arbor provides digital journaling and emotional-exploration tools — including emotion logging, AI-assisted reflective prompts, and goal-setting features — to help you notice and explore your own thoughts, feelings, and values. It is a self-directed journaling and reflection tool that uses AI; it is comparable in spirit to a guided journal or a self-help app, and you use it at your own discretion.
1.2 Arbor is not a professional service of any kind. Arbor is not therapy. Arbor does not provide medical, psychological, psychiatric, therapeutic, counseling, legal, financial, or any other licensed professional service. Using Arbor does not establish any professional relationship of any kind. Regardless of any professional license, credential, or background that any founder, owner, employee, or contributor of Arbor AI may hold, use of Arbor does not establish a therapist-client relationship or any other professional relationship with that individual, and no such individual is acting in a professional or licensed capacity through Arbor.
1.3 Arbor is not a healthcare provider or medical device. Arbor is not a healthcare provider, covered entity under HIPAA, medical device, clinical decision support system, or provider of healthcare services of any kind. The standard consumer version of Arbor is not engineered for, and must not be used for, protected health information (PHI) or patient care. Any HIPAA- or BAA-supported use would require both a separate written agreement and a separately approved technical configuration; the standard consumer version described in these Terms does not provide that configuration. You should not submit PHI through the standard consumer version of Arbor.
1.4 "Sage" is automated software — not a human. Sage is an AI-powered reflective-journaling feature powered by third-party large language models ("LLMs"). Sage is not a person. Sage is not a licensed professional of any kind. Sage does not have professional training, licensure, ethical obligations, or legal duties of any kind. Sage generates automated responses based on patterns in data and your input. AI systems are experimental and probabilistic in nature — Sage's outputs are non-deterministic and may vary across interactions.
Sage's responses may be inaccurate, incomplete, fabricated, emotionally inappropriate, offensive, contradictory, or unsuitable for your specific circumstances. Sage may fail to recognize distress, risk, or situations requiring professional attention. Sage may provide incorrect summaries of your experiences. You are solely responsible for evaluating Sage's responses and deciding how to utilize. Sage's outputs are informational only and do not constitute professional advice of any kind.
Sage is a tool for self-reflection, not a companion, friend, or relationship. Arbor does not intend for you to form an emotional dependency on Sage, and Sage is not a substitute for human connection or professional support. You are encouraged to maintain real-world relationships and to seek appropriate human and professional support in your life. If you find yourself relying on Sage in place of human relationships or needed care, we encourage you to seek support from people you trust or a qualified professional.
1.5 No Reliance. Your use of the Service is at your own risk. You acknowledge that any information or output generated by Arbor or Sage is informational only and should not be relied upon as a substitute for professional judgment, diagnosis, treatment, or crisis intervention. You retain sole responsibility for all decisions and actions you take based on your use of the App. Arbor has no obligation to monitor user content or interactions.
1.6 Arbor is not an emergency service. Arbor is not a crisis line, emergency service, or any form of urgent support service. If you are in danger or require emergency assistance of any kind, contact appropriate emergency services immediately.
For immediate support in the U.S. or Canada:
1.7 Arbor is not appropriate for all needs. Arbor is a journaling and emotional-exploration tool. It is not designed to meet crisis, clinical, or high-distress needs. If you are currently experiencing significant emotional distress or any condition that requires professional support, Arbor is not a substitute for that support, and we encourage you to consult a licensed professional.
1.8 Prohibited decision-making uses. Arbor may not be used as the basis for employment, hiring, firing, promotion, fitness-for-duty evaluation, medical leave determination, disability evaluation, insurance underwriting, educational admission, or any legal decision affecting another person. Arbor outputs are not assessments, evaluations, or diagnostic instruments of any kind.
By using Arbor, you confirm you understand that:
3.1 Age requirement. You must be at least 18 years of age to use Arbor. At account creation, you are asked to confirm that you are 18 or older, and access is blocked for anyone who does not so confirm.
3.2 By using Arbor, you represent that you have the legal capacity to enter into this agreement and are not prohibited from doing so by law.
3.3 Minors. Arbor does not knowingly collect personal information from anyone under the age of 18. If you believe a person under 18 has created an account, you can report it by emailing support@yourarbor.app with the relevant details. Upon receiving a report, we will review it, take reasonable steps to verify the account, and — where we confirm or have a good-faith basis to believe the account belongs to a minor — delete the account and all associated data and notify the reporting party that we have done so, unless preservation is required by law, legal process, safety review, abuse investigation, or a counsel-directed legal hold. This is our standard process for handling suspected-minor accounts.

4.3 Data availability. Arbor does not guarantee that the Service, Sage, or any generated output will be available, retained, or recoverable at all times. Users are responsible for retaining copies of any information they wish to preserve. Export functionality is available via Settings.
5.1 Free Trial. Arbor offers a 14-day free trial beginning at account creation. No payment is required during the trial period.
5.2 Subscription. After the trial, continued access to Levels 2 and 3 requires a paid subscription at the rate shown at purchase. Prices may change with 30 days' notice.
5.3 Billing. Subscriptions are processed through your app store platform (Apple App Store or Google Play). Arbor does not store payment information.
5.4 Cancellation. Cancel anytime through your app store account settings. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time, except as required by law.
5.5 Refunds. Subject to your app store platform's refund policies.
6.1 What we collect. To provide the Service, Arbor collects:
6.2 How it's stored. Your data is stored encrypted on Supabase-hosted servers. Arbor implements commercially reasonable administrative, technical, and organizational safeguards designed to limit unauthorized access to your data. No security measure is absolute.
6.3 Personnel access. Arbor personnel do not routinely access individual session content except as necessary for security, legal compliance, abuse prevention, technical support, or system maintenance. Access may also occur through automated systems or subprocessors as necessary to deliver the Service.
6.4 AI processing. When you use Sage, your messages are transmitted to third-party AI providers (Anthropic, Inc. and Google LLC) for processing. Arbor does not provide user conversation content to third-party AI providers for model training under its current commercial API arrangements, which are configured to disable training on customer data. Arbor cannot control third-party providers' independent practices outside these contractual arrangements. By using Sage, you consent to this transmission. For full details on how your data is handled, see our Privacy Policy at yourarbor.app/privacy. The Privacy Policy is incorporated into these Terms by reference.
6.5 No data sales; no advertising use. Arbor does not sell your personal data. Arbor does not share your emotional, reflection, or any other personal data with advertisers or for any advertising purpose, including cross-context behavioral advertising. Your reflection data is used only to provide the Service to you.
6.6 Your rights. You may export or permanently delete all your data at any time via Settings or by contacting support@yourarbor.app. Deletion of your active account data is irreversible. Residual copies in encrypted backups are purged according to our standard automated backup rotation schedule, typically within 30 to 90 days. Arbor may retain data longer where required by applicable law or legal process.
6.7 User content ownership. You retain ownership of all content you submit to Arbor. By submitting content, you grant Arbor a limited, non-exclusive, royalty-free license to store, transmit, process, and display your content solely as necessary to operate and deliver the Service to you. This license terminates when you delete your account, except that Arbor retains a limited license to store and process your content to the extent necessary to comply with applicable law, legal process, or a counsel-directed legal hold.
6.8 Sage output ownership. Subject to applicable law and third-party provider rights, Arbor assigns to you any rights it may have in the expressive content of outputs generated specifically in response to your inputs during your individual sessions. This assignment does not extend to any underlying system logic, prompt structures, or orchestration patterns reflected in those outputs. Arbor retains rights in the underlying system, prompts, and orchestration logic that produced those outputs.
7.1 Arbor IP. Arbor owns all right, title, and interest in the App, including its software, design, interfaces, AI orchestration logic, system prompts, branding, and all related intellectual property. Nothing in these Terms transfers any ownership of Arbor IP to you.
7.2 License to use. Subject to your compliance with these Terms, Arbor grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes.
You agree not to:
9.1 Arbor may attempt to recognize language that suggests you are in distress or crisis, and may surface support resources such as crisis hotline information when it does. This is a best-effort feature intended to be helpful; it is not a safety guarantee and not a monitoring service.
9.2 This feature is automated, imperfect, and not monitored by humans in real time. It relies on probabilistic AI that makes mistakes. It may fail to recognize distress when it is present, may surface resources when they are not needed, may respond late, or may not respond at all. Do not depend on it.
9.3 This feature does not constitute crisis intervention, mental health assessment, monitoring, or emergency services of any kind. It is a supplement to — never a substitute for — your own decision to seek help.
9.4 You remain solely responsible for seeking appropriate help. If you or someone else may be in danger, contact emergency services immediately. In the U.S. or Canada, call 911 for immediate danger; call or text 988 for suicide and crisis support; or use the Crisis Text Line by texting HOME to 741741 (U.S.) or 686868 (Canada).
10.1 Arbor reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, for any of the following reasons: violation of these Terms, suspected abuse or harmful conduct, legal obligation or law enforcement request, protection of other users or platform integrity, or extended account inactivity.
10.2 Arbor reserves the right to remove or restrict access to content that violates these Terms, investigate suspected violations, and cooperate with law enforcement as required.
10.3 You may terminate your account at any time via Settings. Upon termination, your access ceases. Sections 11, 12, 13, 15, and 17 survive termination.
Arbor depends on third-party services including Anthropic, Google, Supabase, RevenueCat, Sentry, PostHog, and the Apple App Store and Google Play. Arbor is not responsible for outages, service degradation, model changes, API failures, moderation decisions, infrastructure failures, or any other interruption caused by third-party providers. Arbor does not guarantee uninterrupted access to the Service and shall have no liability for disruptions caused by third parties.
Arbor may modify, suspend, or discontinue any feature, functionality, AI model, third-party integration, or portion of the Service at any time without liability. This includes changes to feature availability or underlying AI providers. Changes to pricing are subject to Section 5.2.
Arbor shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, cyberattacks, infrastructure failures, internet outages, AI provider outages, or other events outside Arbor's reasonable control.
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. ARBOR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
ARBOR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR OUTCOME. SAGE'S RESPONSES ARE NOT WARRANTED TO BE ACCURATE, APPROPRIATE, OR SUITABLE FOR ANY PURPOSE. SAGE MAY PRODUCE FABRICATED, INACCURATE, EMOTIONALLY INAPPROPRIATE, OR HARMFUL CONTENT. ARBOR MAKES NO WARRANTY REGARDING THE PERFORMANCE OR AVAILABILITY OF ANY THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBOR AND ITS OWNERS, OPERATORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO:
EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, ARBOR'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ARBOR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED.
TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
You agree to indemnify and hold harmless Arbor and its owners, operators, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your violation of these Terms, your use of the App in violation of applicable law, or your use of Arbor outputs in any prohibited manner, the content you submit to the Service, or any misrepresentation you make under these Terms.
16.1 Governing Law. These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law principles.
16.2 Informal Resolution. Before filing any formal claim, you agree to contact Arbor at support@yourarbor.app and give us 30 days to attempt to resolve the dispute informally.
16.3 Binding Arbitration. If informal resolution fails, any dispute arising from or relating to these Terms or your use of Arbor shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Arbitration shall occur remotely by video, telephone, or written submission unless you and Arbor agree otherwise. The arbitrator's decision shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
16.4 Mass Arbitration. If 25 or more similar claims are filed against Arbor by users represented by the same or coordinated counsel within a 180-day period, those claims will be subject to a batched arbitration protocol. The parties will work with AAA to select a representative set of no more than 10 claims for initial arbitration. The outcomes of those bellwether cases will inform resolution of remaining claims, and the parties will engage in a single mediation before a mediator selected by AAA to negotiate a global resolution based on the bellwether outcomes. If mediation does not resolve remaining claims within 60 days, individual arbitrations may proceed. AAA filing fees for non-bellwether claims will be stayed pending the outcome of the initial batch.
16.5 Fee Allocation. Arbor will pay AAA filing and arbitrator fees as required under AAA Consumer Arbitration Rules, except that if the arbitrator finds a claim to be frivolous or brought in bad faith, the claimant shall bear all arbitration costs for that claim.
16.6 Arbitration Opt-Out. You may opt out of binding arbitration within 30 days of first accepting these Terms by emailing support@yourarbor.app with the subject line "Arbitration Opt-Out" and your account email address. If you opt out, disputes will be resolved in the courts described in Section 16.8.
16.7 Class Action Waiver. You agree that any dispute will be resolved only on an individual basis. You waive any right to bring or participate in a class action, class arbitration, or representative proceeding of any kind.
16.8 Exceptions. Either party may seek injunctive or other equitable relief in the state or federal courts located in Olmsted County, Minnesota for matters involving intellectual property, unauthorized access to the Service, breach of confidentiality, or violations of Section 8. You consent to the exclusive jurisdiction of those courts for such matters.

19.1 Service availability. Arbor is currently offered to users in the United States and Canada only. By using the Service, you represent that you are located in the United States or Canada. Arbor does not currently direct its services to users in the European Economic Area, United Kingdom, Switzerland, or other jurisdictions outside North America. Use of the Service from outside the United States or Canada is not authorized and constitutes a violation of these Terms. Users who access the Service from outside these regions do so at their own risk and are solely responsible for compliance with their local laws.
19.2 Privacy Controls. Arbor provides privacy controls — including access, export, correction, deletion, and limits on the use of your data — to all users as standard features, as described in the Privacy Policy. These controls are provided to everyone rather than as obligations tied to any specific jurisdiction's statute. To use them, see Settings → Data & Privacy or contact support@yourarbor.app.
Arbor may update these Terms at any time. For non-material changes, we will update the "Last updated" date and continued use constitutes acceptance. For material changes — including changes to arbitration, data handling, pricing, or core features — we will notify you within the app and require your affirmative acceptance before continued use of the affected features. If you do not accept material changes within 30 days of notification, Arbor may terminate your account.
Electronic Communications. You consent to receive communications from Arbor electronically, including by email, in-app notice, or other electronic means. You agree that all notices, agreements, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
Entire Agreement. These Terms, together with the Privacy Policy and the Consumer Data Addendum (yourarbor.app/consumer-data), each incorporated by reference, constitute the entire agreement between you and Arbor regarding the Service.
Severability. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No Waiver. Arbor's failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. Arbor may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, or by operation of law, without your consent or notice to you. You may not assign your rights under these Terms without Arbor's prior written consent.
Export Compliance. You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws in connection with your use of the App.
Governing Language. In the event of any conflict between a translated version of these Terms and the English version, the English version shall control.
